Website Terms & Conditions

Applies to: Public websites and pages operated by Hyvery, Inc. (collectively, the “Site”), including marketing pages, documentation, and trust/status pages. Access to the Hyvery SaaS product is governed by the separate Terms of Service; these Website Terms apply to general browsing and any user content you submit on or via the Site.


1) Acceptance of Terms

By accessing or using the Site, you (“you,” “your”) agree to these Website Terms & Conditions (the “Terms”). If you accept on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that entity. If you do not agree, do not use the Site.

2) Other Agreements & Policies

Use of the Hyvery SaaS is governed by the Terms of Service (ToS). Our Privacy PolicyCookie PolicyAcceptable Use Policy (AUP), and any notices posted on the Site are incorporated by reference. In the event of conflict, the ToS controls for the product; these Terms control for the Site.

3) Changes

We may update these Terms at any time by posting a revised version with a new “Last Updated” date. Continued use of the Site after changes means you accept the updated Terms.

4) Eligibility & Accounts

The Site is intended for users 16 years or older. Some areas may require or allow you to create an account (e.g., newsletter, community, portal). You must provide accurate information, keep credentials confidential, and notify us of unauthorized use.

5) Ownership & License to Use the Site

The Site, its look and feel, text, graphics, images, videos, software, and other content (collectively, “Content”) are owned by Hyvery or its licensors and are protected by IP laws. Subject to these Terms, Hyvery grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site solely for lawful, internal, non‑commercial viewing and evaluation.

5.1 Restrictions

You may not: (a) copy, modify, create derivative works of, or publicly display the Site or Content; (b) frame, mirror, or scrape the Site; (c) use bots or automated means to access or extract data; (d) remove proprietary notices; (e) use the Site to compete with Hyvery; or (f) use the Site in violation of the AUP or applicable law.

6) User Submissions & Feedback

If you submit, upload, or post any content (e.g., comments, forms, support requests) or provide suggestions, ideas, or feedback (collectively, “Submissions”), you: (a) represent you have all rights needed; (b) grant Hyvery a worldwide, perpetual, irrevocable, royalty‑free license to use, reproduce, modify, publish, and create derivative works from Submissions for any lawful purpose; and (c) agree Submissions are not confidential. Do not include personal or sensitive data beyond what is necessary.

7) Third‑Party Links

The Site may contain links to third‑party websites or services. Hyvery is not responsible for, and does not endorse, third‑party content, products, or services. Your use of third‑party sites is at your own risk and subject to those sites’ terms and policies.

9) Acceptable Use

You agree not to misuse the Site. Prohibited uses include: introducing malware, circumventing security, interfering with operation, harvesting data, violating privacy or IP rights, or using automated methods to access the Site contrary to our AUP.

10) DMCA/Copyright Policy

If you believe material on the Site infringes your copyright, send a notice to our DMCA agent at dmca@hyvery.comincluding the information required by 17 U.S.C. §512(c)(3). Hyvery may remove or disable access to alleged infringing material and may terminate repeat infringers.

11) No Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYVERY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. HYVERY DOES NOT WARRANT THE SITE WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE OF HARMFUL COMPONENTS.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYVERY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. HYVERY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED US $100.

13) Indemnification

You will defend, indemnify, and hold harmless Hyvery and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Site; (b) your Submissions; or (c) your violation of these Terms or law.

14) Termination

We may suspend or terminate your access to the Site at any time with or without notice, including for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Sections that by their nature should survive will survive termination (e.g., IP, disclaimers, liability limits, indemnity, governing law).

15) Export & Sanctions

You may not use or access the Site in violation of U.S. export control or sanctions laws or permit access by denied or restricted parties.

16) Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflicts of law. Arbitration: Any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by JAMSin San Francisco, California, before a single arbitrator under the JAMS rules, in English. Class Action Waiver:Disputes must be brought in an individual capacity and not as a class or representative action. Either party may seek injunctive relief in court for misuse of IP or breach of confidentiality, and either party may bring a qualifying claim in small‑claims court.

17) Miscellaneous

  • Entire Agreement. These Terms constitute the entire agreement regarding the Site.

  • Severability. If any provision is unenforceable, the remainder remains in effect.

  • Waiver. A failure to enforce a provision is not a waiver.

  • Assignment. You may not assign these Terms without Hyvery’s consent; Hyvery may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
